Regulation A (Reg A) Investment Offerings FAQ

Regulation A is an exemption from registration for public offerings. Regulation A has two offering tiers: Tier 1, for offerings of up to $20 million in a 12-month period; and Tier 2, for offerings of up to $75 million in a 12-month period. For offerings of up to $20 million, companies can elect to proceed under the requirements for either Tier 1 or Tier 2.

Both accredited and non-accredited investors over the age of 18 can participate in Reg A+ offerings, making it accessible to a broader range of investors. Some countries are limited and investors in that jurisdiction cannot invest.

Like any investment, Reg A offerings come with risks, including the potential loss of investment, liquidity risks, and market risks. Investors should read the offering circular to understand specific risks.

With Regulation A+, a non-accredited investor can only invest a maximum of 10% of their annual income or 10% of their net worth per year, whichever is greater. There are no restrictions for accredited investors.

You can monitor your investments through our investment portal, where you will have access to your investment dashboard showing all your investments and their performance. You can also access this link by going to our website and clicking on Investor Login.
